1. Acceptance of terms
By using the imperium-agency.com site and services of Imperium Web Agency ("Imperium"), you agree to these Terms. If you disagree — do not use the site or services.
2. What we offer
Imperium provides web development, mobile development, Telegram bots, blockchain solutions, AI development, and digital marketing services. All services are provided under separate contracts (SOW — Statement of Work) signed by the parties. Information on the site is marketing content and does not constitute a public offer.
3. Site usage
You agree: (a) not to use the site for unlawful purposes; (b) not to attempt unauthorised access to systems; (c) not to run automated scripts (except search bots); (d) not to post content infringing third-party rights; (e) not to use the site to send spam. We reserve the right to restrict access for violations.
4. Intellectual property
All site content (text, design, code, logos, images) is owned by Imperium or its licensors and protected by copyright. Client and partner logos are used with their permission for marketing. You may view the site for personal use but may not copy, reproduce, modify, or commercially use the content without written consent.
5. Forms and inquiries
By submitting a form, you confirm: (a) accuracy of the information; (b) your authority (for legal entities — on behalf of the organisation); (c) consent to personal data processing per the Privacy Policy. Our follow-up is not a contract — the contract is signed separately after agreeing on an SOW.
6. Pricing on the site
Prices shown on the site ("from $X") are indicative and do not constitute a public offer. Final cost depends on scope, complexity, timeline and is agreed in the SOW. We reserve the right to change prices without prior notice. Prices in your signed contracts are fixed per contract terms.
7. Third-party links
The site contains links to third-party resources (partner sites, messengers, social media). We are not responsible for their content, policies, or actions. Interaction with them is governed by their own terms.
8. Disclaimer of warranties
The site is provided "as is" without any express or implied warranties. We do not guarantee uninterrupted availability, absence of errors, or fitness for your specific purposes. We use reasonable efforts to maintain the site but are not liable for temporary outages.
9. Limitation of liability
To the fullest extent permitted by law, Imperium is not liable for any indirect, incidental, special, or consequential damages (lost profits, data, reputation) arising from site use. Imperium's total liability to you is limited to USD $100 or the amount you paid us in the last 12 months (whichever is greater).
10. Force majeure
We are not liable for failure to perform due to force majeure: war, natural disasters, terrorism, large-scale cyberattacks (DDoS), governmental acts, epidemics, critical infrastructure outages (ISPs, power grid).
11. Governing law and jurisdiction
These Terms are governed by Ukrainian law. All disputes are subject to the courts of Imperium's location (Lutsk, Ukraine), except where mandatory law of your country provides otherwise (e.g., EU consumer rights). EU clients may use an alternative ADR procedure.
12. Changes to the Terms
We may update these Terms. The current version is always available on the site. By continuing to use the site after an update, you accept the new Terms.
